General Terms and Conditions (B2B)

§1 Scope of Application
These General Terms and Conditions (GTC) apply to all business relationships between Casa Aurea B. V., Netherlands (hereinafter referred to as "Casa Aurea"), and its commercial customers (hereinafter referred to as "Customer").
The offer from Casa Aurea is exclusively directed at entrepreneurs within the meaning of the applicable law (B2B). Consumers are excluded.
Deviating, conflicting or supplementary conditions of the customer shall not become part of the contract unless Casa Aurea expressly agrees to their validity in writing.
§2 Conclusion of Contract
Offers from Casa Aurea are non-binding and subject to change unless expressly marked as binding.
A contract is only concluded through written order confirmation from Casa Aurea or by execution of the delivery.
Oral side agreements require written confirmation by Casa Aurea to be effective.
§3 Prices
All prices are net, plus the applicable statutory value-added tax and any shipping, packaging, or customs costs.
Price changes are reserved, provided that more than four months elapse between the conclusion of the contract and delivery and cost factors change significantly.
Special conditions, discounts or tiered pricing apply only by express agreement.
§4 Payment Terms
Invoices are to be paid in full within the agreed payment period without any deductions.
In the event of late payment, Casa Aurea is entitled to demand default interest at the statutory rate.
Casa Aurea reserves the right to execute deliveries only against advance payment or adequate security.
Set-off is only permissible with undisputed or legally established claims.
§5 Delivery and Delivery Times
Delivery periods are non-binding unless expressly confirmed in writing as binding.
Partial deliveries are permissible as long as they are reasonable for the customer.
Force majeure or unforeseeable events (e.g. supply shortages from suppliers, production disruptions) extend delivery periods appropriately.
§6 Transfer of Risk
The risk of accidental loss or deterioration of the goods passes to the customer upon handover to the transport service provider.
This also applies if Casa Aurea bears the transport costs.
§7 Retention of Title
The delivered goods remain the property of Casa Aurea until all claims arising from the business relationship have been paid in full.
The customer is obliged to handle the goods with care and to protect them from access by third parties.
Resale in the ordinary course of business is permitted; the resulting claims are hereby assigned to Casa Aurea.
§8 Notification of Defects and Warranty
The customer must inspect the goods immediately upon receipt and report any visible defects in writing within 7 calendar days.
In the case of justified defects, Casa Aurea shall choose between rectification or replacement delivery.
Further warranty claims are excluded, as far as legally permissible.
§9 Liability
Casa Aurea is only liable for damages that are based on intentional or grossly negligent breach of duty.
In the case of slight negligence, Casa Aurea is only liable for breaches of essential contractual obligations and limited to the foreseeable, typical contractual damage.
Liability for lost profits, indirect damages or consequential damages is excluded, as far as legally permissible.
§10 Trademark and Usage Rights
Trademarks, logos, designs and other identifiers of Casa Aurea may only be used with prior written consent.
Any use for advertising purposes requires explicit approval from Casa Aurea.
§11 Confidentiality
All information obtained in the course of the business relationship must be treated as confidential.
This obligation also extends beyond the termination of the business relationship.
§12 Applicable Law and Jurisdiction
The law of the Netherlands applies, excluding the UN Sales Convention (CISG).
The place of jurisdiction for all disputes is – as far as legally permissible – the registered office of Casa Aurea B. V.
§13 Severability Clause
Should individual provisions of these terms and conditions be wholly or partially ineffective or become so, the effectiveness of the remaining provisions shall remain unaffected.
